Preamble
Healtown ("Healtown", "we", "us", "platform") is an online marketplace and booking intermediary operated by Ali TaheriAzandaryani (trading as HealTown), Langewiesenweg 7, 69469 Weinheim, Germany (the "Operator"), trading as HealTown. Healtown provides technology infrastructure through which independent wellness and personal-development practitioners ("Providers") offer sessions and courses to end users ("Clients", and together with Providers, "Users").
Registered scope of business activity:Pursuant to the Gewerbeanmeldung filed with Stadt Weinheim (Abt. 322) on 3 July 2025, the platform's registered activity covers the operation of a website for the intermediation and facilitation of online and in-person sessions in the fields of coaching, music, yoga, meditation, dance, and movement for the promotion of mental and physical wellbeing. Providers offering services outside these categories (e.g. regulated psychotherapy, physiotherapy, medical nutrition therapy) do so entirely on their own account and under their own professional registration — not within Healtown's registered business scope. Such Providers are solely responsible for ensuring their own Gewerbeanmeldung and professional licences cover their activities.
Healtown is a platform intermediary, not a healthcare provider, employer, or agency. Contracts for services are concluded directly between Clients and Providers. Healtown facilitates the booking and payment process and is not a party to the service contract between Client and Provider.
§ 1 — Definitions
- Platform
- The Healtown website (healtown.net), web application, APIs, and any related digital services.
- Provider
- A registered user who lists and offers services or courses on the Platform as an independent contractor.
- Client
- A registered user who browses listings and books sessions or courses on the Platform.
- Listing
- A session, class, course, or appointment published by a Provider on the Platform.
- Booking
- A confirmed reservation of a Listing made by a Client, resulting in a direct contract between Client and Provider.
- Session
- A one-to-one or small-group appointment offered by a Provider (e.g., therapy, coaching, physiotherapy).
- Course
- A structured multi-lesson programme offered by a Provider.
- Platform Fee
- 10% deducted by Healtown from the gross booking amount before transfer to the Provider.
- Service Fee
- 3.5% added to the checkout total charged to the Client to cover payment processing costs.
- Payout
- Transfer of net booking proceeds to a Provider's Stripe account after deduction of the Platform Fee.
- Stripe
- Stripe Payments Europe, Ltd., the third-party payment processor used by Healtown.
- KYC / Identity Verification
- Know-Your-Customer identity check performed via DiDit, required for all Providers.
- AGB
- Allgemeine Geschäftsbedingungen — these General Terms and Conditions.
§ 2 — Scope and Applicability
These AGB apply to all Users of the Platform, including Providers and Clients, and govern all use of the Platform and any contracts concluded through it. These AGB apply exclusively; any conflicting or supplementary terms proposed by Users do not apply unless expressly confirmed in writing by Healtown.
Separate provisions apply to Providers (§§ 6–11) and Clients (§§ 12–15). In case of conflict, Provider-specific provisions take precedence over general provisions for Providers, and Client-specific provisions take precedence over general provisions for Clients.
§ 3 — Account Registration and Eligibility
3.1 Eligibility
The Platform is available to natural persons who are at least 18 years of age and have the legal capacity to enter into binding contracts. Minors aged 16–17 may only register with the documented consent of a parent or legal guardian. Persons under 16 may not register.
Providers must be legally permitted to offer their services in the jurisdiction(s) in which they operate. Providers who offer regulated health services must hold valid professional licences for those jurisdictions.
3.2 Account Creation
Registration requires the provision of accurate, complete, and current information. You must maintain and promptly update your information. Each person may hold only one account per role. Accounts are personal and non-transferable.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. Notify us immediately at legal@healtown.net upon becoming aware of any unauthorised use. Healtown is not liable for losses arising from failure to safeguard your credentials.
§ 4 — Healtown's Role as Platform Intermediary
Healtown provides technical infrastructure enabling Providers to present Listings and Clients to make Bookings. Healtown does not itself provide any wellness, health, therapeutic, coaching, or educational services, and is not a party to the service contract concluded between a Client and a Provider upon Booking.
Healtown acts as a commercial agent on behalf of Providers solely for the purpose of collecting payments via Stripe on behalf of the Provider. This limited agency relationship does not make Healtown an employer, franchisor, or co-provider of services.
Healtown is not liable for the quality, safety, legality, or suitability of any services offered by Providers, except where expressly provided otherwise in these AGB or by mandatory applicable law.
§ 5 — Fees, Payments, and Payouts
5.1 Fee Structure
- Client Service Fee (3.5%)
- A service fee of 3.5% of the listed session or course price is added at checkout and paid by the Client. This fee covers payment processing costs and is non-refundable except where a 90% or full refund applies under the cancellation policy.
- Provider Platform Fee (10%)
- Healtown deducts 10% of the gross booking amount (the listed price paid by the Client, excluding the 3.5% service fee) before transferring earnings to the Provider. Providers receive 90% of their listed price net of fees.
All fees are displayed transparently at checkout before payment is confirmed. Healtown reserves the right to adjust fees with 30 days' written notice to registered Providers.
5.2 Payment Processing
All payments are processed by Stripe Payments Europe, Ltd., a licensed payment institution. Healtown does not store full card numbers or payment credentials. By making or receiving a payment on the Platform, you agree to Stripe's Terms of Service and Privacy Policy, available at stripe.com/de/legal.
5.3 Payouts to Providers
Following a completed Booking, Healtown instructs Stripe to transfer the net amount (listed price minus the 10% Platform Fee) to the Provider's connected Stripe account. Payout timing is governed by Stripe's standard payout schedule and the Provider's Stripe account configuration. Healtown is not responsible for delays caused by Stripe, bank processing times, or Provider account issues.
5.4 VAT / Umsatzsteuer
Healtown is operated as a Nebenerwerb (secondary business activity) by the Operator. Where the Kleinunternehmerregelung (§ 19 UStG) applies — i.e. where annual turnover does not exceed the applicable threshold — Healtown does not charge or collect Umsatzsteuer (VAT) on its platform or service fees, and no VAT will appear on receipts. Where the Operator becomes subject to regular VAT obligations, these Terms and pricing will be updated accordingly with appropriate notice.
Each Provider is solely responsible for determining and fulfilling their own tax obligations (including VAT/Umsatzsteuer, income tax, Gewerbesteuer, and any applicable social insurance contributions) arising from income earned through the Platform. Healtown does not provide tax advice. Providers should consult a qualified Steuerberater (tax advisor).
§ 6 — Provider Onboarding Requirements
6.1 Identity Verification (KYC)
All Providers must successfully complete an identity verification check using Healtown's designated KYC provider (currently DiDit) before publishing any Listing. This process requires a government-issued photo ID and a live biometric selfie.
Providing false identity information is a criminal offence (§ 267 StGB — Urkundenfälschung) and will result in immediate permanent account termination and referral to relevant authorities.
6.2 Stripe Account Connection
Providers must connect a valid Stripe account before publishing Listings. Stripe's own onboarding requirements apply. Healtown is not responsible for Stripe's refusal to onboard a Provider.
6.3 Professional Credentials
Providers offering regulated services — including but not limited to psychotherapy, physiotherapy, dietetics, counselling, osteopathy, or any other health profession regulated in the Provider's jurisdiction of operation — must upload valid professional certificates, licences, or proof of registration with the relevant regulatory body.
- Documents are reviewed by Healtown within 2–3 business days.
- Verified providers receive a "Verified Professional" badge displayed on their profile and Listings.
- Verification confirms the submission of documents only; it does not constitute Healtown's endorsement of the Provider's qualifications, competence, or fitness to practise.
- Submitting forged, expired, or misrepresentative documents constitutes grounds for immediate permanent account termination and may be reported to regulatory authorities.
- The Provider's verification badge may be removed if documents are found to have expired or been revoked.
§ 7 — Provider Obligations and Representations
7.1 Accuracy of Listings
Providers warrant that all Listing information (service description, pricing, qualifications, availability, location) is accurate, complete, lawful, and not misleading. Providers must update Listings promptly to reflect any material changes.
7.2 Legal Compliance — Work Authorisation
Providers are solely and exclusively responsible for:
- Holding valid work authorisation (Arbeitserlaubnis) or self-employment rights (Gewerbeberechtigung / Selbstständigkeit) in the country where they offer services.
- Complying with all applicable professional licensing laws, regulatory requirements, and codes of conduct in every jurisdiction in which they operate.
- Holding adequate professional indemnity insurance (Berufshaftpflichtversicherung) where legally required or professionally expected.
- Complying with applicable health and safety legislation when delivering in-person services.
- Complying with applicable data protection law when processing Client personal data received through the Platform.
Healtown makes no representation that a Provider is legally authorised to practise in any jurisdiction. Providers indemnify Healtown against any claim, loss, penalty, or regulatory action arising from the Provider's failure to comply with applicable law.
7.3 Honouring Bookings
Providers must honour all confirmed Bookings. A Provider who cannot attend a confirmed session must notify the Client as early as possible and offer a rescheduled appointment or initiate a full refund of the booking amount through the Platform. Repeated Provider-initiated cancellations or no-shows may result in account suspension.
7.4 Prohibited Listings
Providers may not list:
- Services that are illegal in the Provider's jurisdiction or the Client's likely jurisdiction.
- Services involving the prescription or supply of prescription medication.
- Services misrepresented as licensed medical diagnosis or treatment where the Provider does not hold the required medical licence.
- Services involving sexual content, exploitation, or any form of abuse.
- Any service that violates these AGB or applicable law.
7.5 Independent Contractor Status
Providers are independent contractors and are not employees, workers, partners, or agents of Healtown. Nothing in these AGB creates or implies an employment relationship. Providers are responsible for their own social security contributions, income tax, equipment, and professional expenses.
§ 8 — Provider Liability and Indemnification
Providers are fully and solely liable for:
- All services delivered through the Platform, including any harm, injury, or loss suffered by Clients.
- Intellectual property infringements in their Listing content (text, images, videos).
- Any breach of data protection law in their handling of Client data.
- Any fraudulent, misleading, or unlicensed practice.
- Tax and social contribution obligations arising from their Platform income.
Each Provider agrees to indemnify, defend, and hold harmless Healtown, its officers, employees, and agents from and against any claim, demand, liability, damage, cost, or expense (including legal fees) arising from or related to: (a) the Provider's services; (b) the Provider's breach of these AGB; (c) the Provider's violation of any law or third-party rights; (d) any misrepresentation in the Provider's Listing.
§ 9 — Provider Account Suspension and Termination
Healtown reserves the right to suspend or permanently terminate a Provider's account, remove Listings, and withhold pending payouts (pending investigation) in any of the following circumstances:
- Material breach of these AGB.
- Submission of false identity or professional documents.
- Credible Client reports of harm, misconduct, or fraudulent practice.
- Regulatory investigation or intervention by a competent authority.
- Receipt of a court order or official instruction to do so.
- Repeated cancellation of confirmed Bookings without adequate notice.
- Circumvention of Platform payments (side-dealing) as described in § 16.
Where a suspension is precautionary (pending investigation), Healtown will communicate the reason and expected timeline within 5 business days. Withheld payouts will be released or refunded in accordance with the outcome of the investigation.
§ 10 — Provider Content Licence
By uploading Listing content (text, photographs, video, audio) to the Platform, the Provider grants Healtown a worldwide, non-exclusive, royalty-free, sublicensable licence to host, reproduce, display, adapt (for format/size), and distribute that content solely for the purpose of operating and promoting the Platform, for as long as the content remains on the Platform.
The Provider retains all ownership rights. Healtown will not commercialise Provider content beyond Platform operation without separate written agreement.
§ 11 — Provider Cancellation Policy (Outbound)
If a Provider cancels a confirmed Booking, the Client is entitled to a full 100% refund of all amounts paid, including the service fee. Healtown will instruct Stripe to reverse the charge and transfer accordingly. The Platform Fee will not be retained by Healtown in cases of Provider-initiated cancellation.
§ 12 — Client Booking and Payment
12.1 Booking Process
A Booking is confirmed upon successful payment processing. The Client receives a booking confirmation by email and notification. A direct service contract is formed between the Client and the Provider upon Booking confirmation.
12.2 Accuracy of Information
Clients are responsible for providing accurate personal information at registration and at booking (including health or contact information requested by Providers).
12.3 Medical Disclaimer
Services listed on the Platform are provided by independent practitioners and do not constitute medical diagnosis, prescription, or treatment by Healtown. Clients with serious medical conditions should consult a licensed physician before booking wellness or complementary therapy services.
§ 13 — Client Cancellation and Refund Policy
13.1 Session Bookings — Tiered Refund Policy
- More than 48 hours before
- 90% refund of the total amount paid. The remaining 10% compensates the Provider for reserved time and administrative costs.
- 24–48 hours before
- 50% refund of the total amount paid.
- Less than 24 hours before
- No refund. The session is non-refundable to protect the Provider's income from last-minute cancellations.
Refunds are processed to the original payment method via Stripe within 5–10 business days. The 3.5% Client service fee is refunded proportionally where a refund applies. Healtown's Platform Fee is not refunded except in cases of Provider-initiated cancellation.
Cancellations must be submitted through the Client's account dashboard. The timestamp recorded by the Platform at submission is used to calculate the applicable refund tier.
13.2 Right of Withdrawal — Session Bookings (Widerrufsrecht)
Pursuant to § 312g Abs. 2 Nr. 9 BGB (leisure services where a specific performance date is agreed), the statutory 14-day right of withdrawal does not apply to session bookings, as each Booking specifies a particular date and time reserved exclusively for the Client.
By completing a Booking, you acknowledge and accept the exclusion of the right of withdrawal and agree that the cancellation and refund policy in § 13.1 applies instead.
13.3 Courses — 14-Day Right of Withdrawal
Courses purchased on the Platform are subject to the statutory 14-day right of withdrawal (§ 355 BGB, implementing EU Directive 2011/83/EU on consumer rights), provided the Client has not commenced accessing course content.
Waiver of right of withdrawal for digital content: Pursuant to § 356 Abs. 5 BGB and Article 16(m) of the Consumer Rights Directive, the right of withdrawal is lost once the Client begins accessing digital course content, provided that: (a) the contract expressly acknowledges that performance begins before the withdrawal period expires, and (b) the Client has expressly consented to the commencement of performance and acknowledged the loss of the right of withdrawal.
By clicking "Start Course", you expressly consent to immediate access to digital content and acknowledge that your right of withdrawal is extinguished at that point.
To exercise the right of withdrawal for a course not yet commenced, cancel through your account dashboard within 14 days of purchase. A full refund will be issued within 5–10 business days.
13.4 Exceptional Circumstances
In cases of documented medical emergency or bereavement occurring within 24 hours of a session, Clients may submit a refund request to legal@healtown.net with supporting documentation. Healtown will assess such requests at its sole discretion.
§ 14 — Client Conduct
Clients agree not to:
- Use the Platform for any purpose other than booking and accessing legitimate wellness and health services.
- Engage in abusive, harassing, threatening, or discriminatory communications with Providers.
- Misrepresent their identity, health status, or booking purpose.
- Record sessions (audio, video, screen capture) without the prior explicit written consent of the Provider.
- Circumvent the Platform to arrange direct payments with Providers for services first discovered on the Platform.
§ 15 — Client Complaints and Disputes with Providers
Disputes between Clients and Providers regarding service quality are primarily a matter between those parties, as Healtown is not a party to the service contract.
However, where a Client alleges that a Provider has: (a) engaged in fraudulent misrepresentation, (b) delivered a service materially different from the Listing, (c) caused harm through professional misconduct, or (d) violated these AGB, the Client may report the matter to Healtown at legal@healtown.net. Healtown will investigate and may take appropriate action against the Provider pursuant to § 9.
Healtown may, at its discretion, offer goodwill remediation in cases where a verified Provider has materially failed to deliver a Listing as described. This does not constitute an admission of Healtown's liability.
§ 16 — Prohibited Conduct (All Users)
All Users agree not to:
- Use the Platform for any purpose that is unlawful under applicable German or EU law.
- Impersonate any person or entity, or misrepresent their affiliation with any organisation.
- Post, upload, or transmit content that is defamatory, obscene, fraudulent, threatening, or that infringes third-party intellectual property rights.
- Circumvent the Platform to conduct bookings or payments outside Healtown ('side-dealing') for any Client-Provider relationship originating on the Platform. Side-dealing deprives Healtown of its intermediary fee and voids any Platform protections.
- Attempt to gain unauthorised access to any part of the Platform, its servers, or third-party systems connected to it.
- Use automated scripts, bots, crawlers, or scraping tools to extract data from the Platform without prior written authorisation.
- Introduce malicious code, viruses, or otherwise interfere with the Platform's integrity or performance.
- Submit spurious, false, or retaliatory reviews or reports.
- Engage in any conduct that constitutes unfair commercial practice under § 3 UWG.
§ 17 — Healtown's Liability (Haftung)
17.1 Limitation of Liability
Healtown's liability for contractual and non-contractual claims is limited as follows:
- Healtown is fully liable for intentional misconduct (Vorsatz) and gross negligence (grobe Fahrlässigkeit).
- For ordinary negligence (einfache Fahrlässigkeit), Healtown is liable only for breach of a fundamental contractual obligation (Kardinalpflicht) whose fulfilment is essential to achieve the purpose of the contract, and in such cases liability is limited to foreseeable, contract-typical loss.
- Healtown's total aggregate liability for any claim arising from or related to these AGB or the Platform shall not exceed the greater of: (a) the total fees paid by you to Healtown in the 12 months preceding the event giving rise to the claim, or (b) €500.
- Healtown is not liable for indirect, consequential, incidental, or punitive damages, loss of profit, or loss of data.
17.2 Mandatory Liability
Nothing in these AGB limits or excludes Healtown's liability for: (a) death or personal injury caused by Healtown's negligence; (b) fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under mandatory German law, including the Produkthaftungsgesetz (ProdHaftG).
17.3 Third-Party Services
Healtown is not liable for the availability, performance, or content of third-party services integrated with the Platform (including Stripe, DiDit, Jitsi, or any video conferencing provider). Each third party's own terms and privacy policies apply.
§ 7–10 TMG — Platform Content Liability
As a hosting platform, Healtown is not responsible for third-party content (Provider Listings) pursuant to §§ 7–10 TMG. Healtown has no general obligation to monitor content but will act expeditiously upon receiving credible notice of infringing or illegal content. To report such content, contact legal@healtown.net.
§ 18 — Platform Availability
Healtown strives to maintain Platform availability 24/7 but does not guarantee uninterrupted or error-free operation. Planned maintenance will be announced in advance where reasonably practicable. Healtown is not liable for loss arising from temporary unavailability.
§ 19 — Intellectual Property
All intellectual property rights in the Platform, including the Healtown name, logo, design, code, and original content, are owned by or licensed to Healtown. No licence to use Healtown's intellectual property is granted except as strictly necessary to use the Platform in accordance with these AGB.
Users must not reproduce, adapt, distribute, or create derivative works of any Healtown intellectual property without prior written consent.
§ 20 — Data Protection
Healtown processes personal data in accordance with its Privacy Policy, which forms an integral part of these AGB. By accepting these AGB, you acknowledge that you have read the Privacy Policy. Data processing is carried out in compliance with the EU General Data Protection Regulation (DSGVO/GDPR) and the German Bundesdatenschutzgesetz (BDSG).
§ 21 — Account Termination
21.1 By User
You may close your account at any time by contacting legal@healtown.net. Closure does not affect pending Bookings, refund obligations, or legal retention periods for transaction records.
21.2 By Healtown
Healtown may suspend or terminate any account upon 14 days' notice for material or repeated breach of these AGB. Immediate termination without notice is permissible for: identity fraud; Provider fraudulent practice causing Client harm; criminal conduct; or conduct posing immediate risk to other Users or the Platform.
Upon termination by Healtown, any pending payouts owed to a Provider (net of valid Client claims) will be disbursed within a reasonable period after investigation.
§ 22 — Amendments to These AGB
Healtown may modify these AGB at any time. Registered Users will be notified of material changes at least 30 days in advance by email and/or by prominent notice on the Platform. If a User does not object within the 30-day notice period, the amended AGB are deemed accepted. Users who object may close their account before the changes take effect.
Continued use of the Platform after the effective date of amended AGB constitutes acceptance.
§ 23 — Governing Law and Jurisdiction
23.1 Governing Law
These AGB and all disputes arising from or in connection with the Platform and any Bookings are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For Clients who are consumers (Verbraucher) in another EU Member State, the mandatory consumer protection provisions of that Member State also apply to the extent they afford greater protection than German law.
23.2 Place of Jurisdiction
For disputes with Providers or commercial Users, the exclusive place of jurisdiction is Weinheim, Baden-Württemberg, Germany (Amtsgericht Weinheim or, where required by value, Landgericht Mannheim).
For disputes with consumers (Verbraucher), the statutory rules on place of jurisdiction apply.
23.3 Online Dispute Resolution (EU ODR)
The European Commission's online dispute resolution (ODR) platform was discontinued on 20 July 2025. For dispute-related enquiries, contact: legal@healtown.net.
We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) but are willing to do so on a case-by-case basis.
§ 24 — Severability and Entire Agreement
If any provision of these AGB is found to be invalid or unenforceable, the remaining provisions remain in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the commercial intent of the original provision (§ 306 BGB).
These AGB, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Healtown and supersede all prior discussions, representations, or agreements regarding the subject matter herein.
